PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING ANY GMSTEK LLC (“GMSTEK”, “X-1”, “WE”, “OUR”) PRODUCTS, SERVICES, HARDWARE, OR WEBSITE (COLLECTIVELY, THE “PLATFORM”). BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT USE THE PLATFORM.

You retain ownership of data you submit to the Platform. You grant GMSTEK a non-exclusive license to process, store, and transmit such data as necessary to operate and improve the Platform.


B. Aggregated Data
GMSTEK may use anonymized and aggregated data derived from Platform usage for analytics, benchmarking, and product improvement.


C. Submissions
Any feedback, suggestions, or materials submitted to GMSTEK may be used without restriction or obligation.


8. Intellectual Property

The Platform, including all software, content, and technology, is owned by GMSTEK or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.

You may not:

  • Create derivative works

  • Use the Platform for competitive purposes

GMSTEK:

  • Does not control third-party services

  • Is not responsible for their availability, accuracy, or performance

  • Does not guarantee compatibility or uptime

Your use of third-party services is subject to their terms.


10. Payment and Transaction Facilitation

However:

  • GMSTEK is not a bank, financial institution, or payment processor

  • Payment services are provided by third parties

  • GMSTEK is not responsible for errors, delays, or failures caused by third-party providers


11. Disclaimer of Warranties

GMSTEK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GMSTEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO USE OF THE PLATFORM.


13. Indemnification

You agree to indemnify and hold GMSTEK and its affiliates harmless from any claims, damages, or liabilities arising from:

  • Your use of the Platform

  • Your violation of these Terms

  • Your misuse of data or integrations


14. Export Compliance

You agree to comply with all applicable export control laws and regulations.


15. Third-Party Relationships

Any third parties referenced on the Platform are independent entities and not partners, joint ventures, or agents of GMSTEK.


16. Links

GMSTEK is not responsible for the content or practices of third-party websites linked through the Platform.

If you believe content on the Platform infringes your copyright, please submit a notice to:

18. Changes to Terms

GMSTEK may update these Terms at any time.

Any disputes shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
